Terms of Service

Effective August 18, 2026

These Terms of Service (“Terms”) govern your use of the Boaz application and services (the “Service”) provided by Boaz Core LLC (“Boaz,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Boaz provides software tools for trade and construction businesses, including AI-assisted estimating, bid building, invoicing (with optional online card payments processed by Stripe — see Section 5), receipt scanning, expense and income tracking, a business coach, an AI receptionist, design previews, the Money Co-pilot (financial insights drawn from your own records), and the Plan Estimator (an optional paid add-on that reads construction plan sets and bid documents you upload and drafts a takeoff — quantities, scope flags, and questions — for your review). Some features are optional add-ons with an additional recurring charge, presented before you buy them. You may also choose to connect a third-party accounting service to import your financial data (see Section 6). Features and pricing may change as the Service evolves.

2. AI outputs are drafts — your responsibility to review

All estimates, bids, invoices, prices, design previews, plan takeoffs, insights, and other AI-generated content are drafts and starting points only. They may contain errors or omissions. Plan Estimator outputs in particular — quantities, measurements, counts, coverage summaries, scope flags, and suggested questions — are draft takeoffs, not completed estimates: you are responsible for verifying every quantity and scope item against the plans and in the field before pricing, submitting, or relying on any proposal or bid, and for the accuracy of anything you submit to a client, general contractor, or other party. Boaz does not review the third-party documents you upload and is not responsible for errors, omissions, conflicts, or revisions in them, nor for the outcome of any bid. You are solely responsible for reviewing, verifying, and adjusting all numbers, scope, and documents before relying on them, sending them to a client, or entering into any agreement. The Service does not provide legal, tax, accounting, financial, or professional advice — consult a qualified professional for those. Boaz is a software company: it is not a licensed contractor, architect, engineer, land surveyor, or professional estimator, no licensed professional reviews your results, and nothing the Service produces is a construction document, a certified quantity survey, a sealed drawing, or a substitute for the judgment of a qualified professional or for measuring the work in the field. Any figure marked “VIF”, “verify in field”, “1 lot”, or carrying a risk or verification flag is telling you it has not been established — do not price it without checking.

3. Money Co-pilot & financial insights — not professional advice

The Money Co-pilot, reports, exports, tax set-aside estimates, category mappings, and similar features organize the numbers you enter or import and surface general insights, estimates, and benchmarks to help you understand your own business. They are informational and organizational only. They are NOT tax, legal, accounting, financial, bookkeeping, or investment advice, and Boaz is not your accountant, CPA, bookkeeper, auditor, or financial advisor. Benchmarks are general industry ranges, not guarantees. Tax-related figures (such as set-aside estimates, Schedule-C category suggestions, mileage, or 1099 thresholds) are rough aids that vary by your situation and jurisdiction. Always confirm with a qualified, licensed professional before filing, relying on, or making any financial or tax decision. You are solely responsible for your records, decisions, and filings.

4. Eligibility & your account

You must be at least 18 and able to form a binding contract. You agree to provide accurate information, keep your login credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use.

5. Free trial, payment method, subscriptions & auto-renewal

  • Boaz is a subscription service offered as a single Premium plan at the price shown in the app. Subscribers on earlier plan tiers keep their original price and receive current Premium features.
  • We offer a 14-day free trial. To start a trial, you subscribe and provide a valid payment method, which we keep on file. We do not charge you during the free trial.
  • Automatic renewal: unless you cancel before the trial ends, your subscription begins automatically and we charge your payment method the plan’s price as presented to you when you subscribed. After that, your subscription renews automatically each billing cycle (monthly, or another term you select) and your payment method is charged each cycle until you cancel.
  • How to cancel: you can cancel anytime — before the trial ends to avoid any charge, or later — from the billing settings in the app (which open our payment processor’s secure portal) or by emailing ethan@boazcore.com. Cancellation takes effect at the end of the current period; you keep access until then.
  • You can change plans at any time; upgrades/downgrades are prorated by our payment processor. Changing plans may change your price.
  • Optional add-ons (such as the Plan Estimator) are additional recurring charges added to your subscription at the price shown when you add them, prorated for the current period by our payment processor, and renew with your subscription until removed. Add-ons end when the subscription that carries them ends. Add-on pricing shown as a founding or promotional rate remains locked while you stay continuously subscribed to it.
  • Join-day terms are honored: the subscription price in effect for your account when you subscribed (including any promotional or founding rate) remains your price for as long as you stay continuously subscribed to that plan. It may change only if you switch plans or cancel and re-subscribe.
  • Fees are charged through our payment processor (Stripe). Except where required by law, payments are non-refundable, including for partial periods.
  • Consistent with applicable automatic-renewal laws, we present these terms clearly before you subscribe, charge only after the free trial unless you cancel, and provide an easy way to cancel.

Online invoice payments (optional). If you enable online payments, your clients pay your invoices by card or bank transfer through Stripe, which acts as the payment processor and money transmitter. Payments are processed through Boaz’s Stripe platform account and settle directly to your own connected Stripe account and your bank via Stripe Connect. Boaz has no access to the funds in your connected account and charges no platform fee on your invoice payments. If Boaz ever introduces a platform fee for new accounts, the platform-fee terms in effect on the day you subscribed continue to apply to your account for as long as you remain continuously subscribed. To accept online payments you complete Stripe’s onboarding, and your use of payments is governed by the Stripe Connected Account Agreement and Stripe’s terms.

Your responsibility for your payments. You — not Boaz — are responsible for delivering the goods and services your clients pay for, and for all refunds, chargebacks, disputes, reversals, fines, and penalties arising from payments on your invoices. If Stripe debits or withholds any amount from Boaz’s platform account in connection with your payments (for example, a chargeback or refund where your connected account has an insufficient balance), you agree to reimburse Boaz on demand, and you authorize Boaz and Stripe to recover such amounts by reversing transfers to, or debiting, your connected Stripe account, and/or by set-off against amounts otherwise payable to you. Boaz is not a party to the underlying transaction between you and your client and is not responsible for the payment, non-payment, or quality of work on any invoice.

6. Connecting an external accounting service (optional)

This integration is planned and not yet available. When it launches, you may choose to connect a third-party accounting service — for example QuickBooks Online or Xero — so Boaz can import your financial data to power your insights. If you do:

  • You authorize the connection through the provider’s own secure login (OAuth). We request read-only access.
  • We never write to, modify, create, or delete anything in your connected account. Boaz only reads data to display and analyze it for you.
  • We use the imported data solely to provide your in-app financial insights and reports.
  • You can disconnect at any time from your settings; you may also request deletion of imported data. Your access tokens would be stored encrypted and revocable by you (and through the provider).
  • Your use of the third-party service remains governed by that provider’s own terms; we are not responsible for their service or the accuracy of the data they provide.

7. Acceptable use

You agree not to: use the Service for any unlawful purpose; upload content you don’t have the right to use; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; or resell or redistribute the Service without our written permission.

Text messaging & consent. If you use features that send text messages to your clients (such as payment reminders), you represent and warrant that you have obtained any consent required by law (including the Telephone Consumer Protection Act) to contact each recipient at the number you provide, that you will honor opt-out requests, and that you will not use the Service to send unlawful, harassing, or unsolicited messages. You are solely responsible for the messages you send through the Service and will indemnify Boaz for any claims arising from them (see Section 13).

8. Your content & data

You retain ownership of the data and content you submit or connect. You grant us a limited license to process it to operate the Service and generate your results (including sending it to our AI provider for that purpose). We also measure and improve the accuracy of our AI using de-identified information derived from your use — for example, the quantities and scope descriptions in a takeoff compared against the quantities you corrected it to. When we do this: your business name, your clients’ names and details, your addresses, your rates and your bid or invoice totals are never used in an identifiable form, never shown to another customer, and never sold or licensed to anyone. If we want to use an identifiable bid or plan set of yours as a named accuracy benchmark, we ask you first and you may decline or withdraw at any time. We do not use your content to train our own AI models, and our AI provider does not use it to train theirs. You represent that you have the rights to any third-party information (such as your clients’ details) that you enter, and that you will handle it lawfully. This includes any construction plans, drawings, specifications, or bid documents you upload: you represent that you received them lawfully (for example, as an invited bidder) and are authorized to have them processed to prepare your bid; they remain the property of their owners, and we process them solely to generate your results. Our handling of your information is described in our Privacy Policy.

9. Intellectual property

The Service, including its software, design, and branding, is owned by Boaz and protected by law. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.

10. Third-party services & sub-processors

The Service relies on third-party providers that process data on our behalf to run the Service: Supabase (database, authentication, storage), Google (Gemini API) (AI processing), Vercel (hosting), Stripe (payments), Twilio (text messaging for the receptionist, where enabled), Resend (transactional email), Sentry (error monitoring and diagnostics), and Plaid (bank-account connections, only if you choose to link a bank — your bank credentials go to Plaid directly and are never seen or stored by Boaz; your use of Plaid is also governed by Plaid’s own terms and privacy policy). If you connect an external accounting service in the future (a planned feature), Intuit (QuickBooks Online) and/or Xero would act as sources of the data you authorize us to read. We are not responsible for the availability or actions of third-party services, and your use of them may be subject to their own terms.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, ERROR-FREE, OR UNINTERRUPTED.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOAZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE — including any reliance on AI output, financial insights, or imported data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold Boaz harmless from claims, losses, and expenses arising from your content, your use of the Service, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination (such as disclaimers, liability limits, and indemnification) will survive.

15. Dispute resolution — arbitration & class-action waiver

Please read this section carefully — it affects how disputes are resolved and limits your rights. Except for a dispute that qualifies for small-claims court, you and Boaz agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (available at adr.org), rather than in court. Boaz will pay all AAA filing, administration, and arbitrator fees beyond the consumer filing fee required by the AAA rules. The arbitration will be held in California or, at your election, your home county (or by video/phone under the AAA rules), and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator — not a court — has exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of this arbitration agreement. If 25 or more similar arbitration demands are brought against Boaz by the same or coordinated counsel, the parties agree the AAA will administer them in batches of up to 25 under its mass-arbitration procedures, with a single set of fees per batch.

Class-action waiver: you and Boaz agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

Small-claims option & 30-day opt-out: either party may instead bring an individual claim in small-claims court if it qualifies. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing ethan@boazcore.com from your account email with the words “arbitration opt-out.” Opting out will not affect any other part of these Terms.

16. Severability; entire agreement; assignment

If any provision of these Terms is held invalid or unenforceable, it will be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. If the class-action waiver in Section 15 is held unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court, and the remainder of Section 15 shall continue to apply to all other claims. These Terms, together with the Privacy Policy, are the entire agreement between you and Boaz regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control.

17. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the state and federal courts located in California will have jurisdiction over any disputes, unless otherwise required by applicable consumer law.

18. Changes to these Terms

We may update these Terms from time to time. We will revise the effective date above and, for material changes, take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance.
